Terms

The boring-but-important stuff. We kept it short.

How many lawyers does it take to change a lightbulb? Three — one to turn it, one to shake the ladder, and one to sue the lightbulb company.

These terms govern your use of this website and any project we work on together. By engaging Meridii, you agree to them. We kept them short on purpose.

What we do

Meridii offers brand, web, and product design services. The specific scope of any engagement is defined in a separate proposal or statement of work agreed between us and the client before work begins.

How engagements work

We work on a project basis. Every engagement begins with a written proposal covering scope, deliverables, timeline, and price. Work starts after the proposal is signed and the first payment clears.

Who owns what

On full payment, you own the final deliverables we create specifically for you — the logos, the site, the product design. We retain ownership of any underlying tools, process documents, and working files.

We reserve the right to display the finished work in our portfolio, case studies, and marketing unless we’ve agreed otherwise in writing before the project begins.

Payment

Payment terms (deposit, milestones, final) are set in your proposal. Invoices are due on the date indicated, typically net 15. Late payments may incur interest at 1.5% per month (18% annually), the maximum allowed under Ontario law.

Prices in proposals exclude applicable Canadian taxes (GST/HST). Where applicable, these will be added to your invoice at the prevailing rate.

Revisions & scope changes

Your proposal defines how many rounds of revisions are included. Work outside the agreed scope — new features, added pages, a complete direction change — is handled as a change request with its own estimate, agreed in writing before work begins.

Cancellation

Either side can cancel a project in writing at any time. You’re responsible for payment for all work completed up to the cancellation date. Deposits are non-refundable once work has begun.

Confidentiality

Anything you share with us as confidential stays confidential. We don’t discuss client work, strategies, or unreleased projects with anyone outside the studio. If a project requires a formal NDA, we’ll sign one.

Limitation of liability

We do our best work on every engagement, but we can’t promise perfection. To the fullest extent permitted by law, our liability on any engagement is limited to the fees paid by the client for that specific project. We’re not liable for indirect, consequential, or incidental damages.

Using this website

The content on meridii.com — writing, design, imagery, code — belongs to Meridii unless otherwise noted. You can share and link to it. You can’t copy, rehost, or sell it.

Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes will be resolved in the courts of Ontario, located in Toronto.

Changes to these terms

We may update these terms from time to time. When we do, we’ll update the effective date at the bottom. Substantive changes will be flagged on the home page for a week.
